1 Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CorePlex AI ("CorePlex AI", "we", "us", "our"), the operator of the BetaHive platform accessible at betahive.co and coreplexai.com ("BetaHive", "the platform", "the service").

By registering for an account, accessing, or using any part of BetaHive, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using BetaHive on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2 Platform description

BetaHive is a two-sided marketplace that connects:

• Beta testers ("Testers") — individuals who test AI and software products listed on the platform and earn credits for submitting structured feedback.
• Product builders ("Builders") — individuals or organisations who list their products or services on BetaHive to receive structured beta testing feedback from the Tester community.

BetaHive facilitates connections between Testers and Builders but is not a party to any agreement between them regarding the products listed. CorePlex AI does not develop, own, or endorse any third-party product listed by Builders on the platform.

3 Eligibility

To use BetaHive, you must:

• Be at least 18 years of age (or the age of legal majority in your jurisdiction);
• Have the legal capacity to enter into a binding agreement;
• Not have been previously suspended or removed from BetaHive for violation of these Terms;
• Comply with all applicable laws and regulations in your jurisdiction.

By using the platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to any person or entity at our sole discretion.

4 User accounts

You must create an account to access most features of BetaHive. When registering, you agree to:

• Provide accurate, current, and complete information;
• Maintain the security of your password and not share your login credentials;
• Promptly update your account information if it changes;
• Notify us immediately at support@coreplexai.com if you suspect unauthorised access to your account.

You are responsible for all activity that occurs under your account. CorePlex AI is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

You may not create multiple accounts to circumvent restrictions, exploit credit systems, or engage in any form of manipulation of the platform.

5 Beta testers

Tester obligations

As a Tester, you agree to:

• Provide honest, original, and good-faith feedback on products you test;
• Complete testing tasks as described and submit feedback within the specified timeframe;
• Not submit fabricated, plagiarised, or low-quality feedback designed to game the credit system;
• Not share confidential product information with third parties without the Builder's consent;
• Not use any product you access through BetaHive for any purpose other than testing as described in the task.

Welcome credits

New Tester accounts may receive 100 welcome credits upon registration. These credits are non-transferable, have no cash value unless redeemed through the platform's official redemption process, and may be withdrawn if we determine the account was created fraudulently or in violation of these Terms.

Credit earning

Credits are awarded at our discretion based on the quality and completeness of submitted feedback. We reserve the right to reject submissions that do not meet quality standards and to withhold or claw back credits where fraud or policy violations are detected.

6 Product builders

Builder obligations

As a Builder, you agree to:

• List only products or services that you own or have authority to list;
• Provide accurate, complete, and non-misleading product descriptions and testing tasks;
• Not list products that are illegal, harmful, deceptive, or violate these Terms or applicable law;
• Honour the testing tasks and credit rewards as advertised to Testers;
• Not use Tester data or feedback for purposes beyond those disclosed at the time of testing.

Prohibited products

Builders may not list products that:

• Facilitate illegal activity, fraud, or harm to users;
• Contain malware, spyware, or other malicious code;
• Promote hate, discrimination, harassment, or violence;
• Violate any third-party intellectual property rights;
• Are gambling platforms, adult content sites, or otherwise age-restricted services not verified for age compliance.

Commission

BetaHive charges a 30% marketplace commission on referral conversions generated through the platform. By listing a product, you authorise us to deduct this commission from applicable revenue through Stripe. Specific commission arrangements are governed by your subscription plan and any separate agreement with CorePlex AI.

Subscription fees

Builder plans are billed monthly in Australian dollars (AUD) through Stripe. Fees are non-refundable except as required by Australian Consumer Law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

7 Credits and payments

Credit system

BetaHive credits are a virtual reward currency issued on the platform. Credits:

• Have no monetary value unless redeemed through our official redemption process;
• Are non-transferable between accounts;
• Do not expire while your account is active, but will be forfeited upon account termination for policy violations;
• Cannot be purchased directly (they are earned through testing activity or referrals).

Credit redemption

Credits may be redeemed for platform services or cash payouts in accordance with the redemption rates displayed in your account dashboard. Redemption rates and options are subject to change with reasonable notice. We reserve the right to limit redemption amounts in any given period.

Payment processing

All monetary transactions are processed through Stripe. By providing payment information, you authorise CorePlex AI to charge your nominated payment method for applicable fees. You agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms.

Refunds

Subscription fees are generally non-refundable. Refunds may be issued at our discretion where required under Australian Consumer Law (see Section 12) or where a documented technical error has occurred. To request a refund, contact support@coreplexai.com.

8 User content and conduct

Your content

You retain ownership of content you submit to BetaHive (such as feedback, product descriptions, and profile information). By submitting content, you grant CorePlex AI a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content for the purpose of operating and improving the platform.

Prohibited conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, defamatory, or harmful content;
• Harass, abuse, threaten, or impersonate any person;
• Attempt to gain unauthorised access to the platform or other users' accounts;
• Use bots, scrapers, or automated tools to interact with the platform without our written consent;
• Interfere with, disrupt, or harm the platform's infrastructure or security;
• Manipulate the credit system, leaderboard, or feedback scoring through fraudulent means;
• Reproduce, distribute, or resell any part of the platform without authorisation.

Content moderation

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate. We may do so without notice.

9 Intellectual property

The BetaHive platform, including its design, software, branding, logo, and original content, is owned by CorePlex AI and protected by Australian and international intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the platform beyond the limited licence to use the service as described herein. You may not copy, modify, adapt, translate, reverse engineer, decompile, or create derivative works of any part of the platform without our express written permission.

If you believe any content on BetaHive infringes your intellectual property rights, please contact us at support@coreplexai.com with details of the alleged infringement.

10 Third-party services

BetaHive integrates with third-party services including Stripe (payment processing), Netlify (website hosting), and others described in our Privacy Policy. Your use of these services is governed by their respective terms and privacy policies. CorePlex AI is not responsible for the content, privacy practices, or availability of any third-party service.

Links to third-party websites on BetaHive are provided for convenience only. We do not endorse those websites or their content.

Builder products listed on BetaHive are provided by independent third parties. CorePlex AI makes no representation or warranty regarding any Builder product and is not responsible for any harm arising from your use of a Builder product.

11 Disclaimers and limitation of liability

Platform provided "as is"

To the maximum extent permitted by law, BetaHive is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of liability

To the extent permitted by law, CorePlex AI's total liability to you for any claim arising from or related to these Terms or your use of the platform will not exceed the greater of:

• The total fees you paid to BetaHive in the 12 months preceding the claim; or
• AUD $100.

CorePlex AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Builder products

CorePlex AI is not liable for any loss, damage, or harm arising from your use of any product listed by a Builder on BetaHive. You access and use Builder products entirely at your own risk.

12 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by Australian Consumer Law (as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited.

Where you are a "consumer" under Australian Consumer Law, you have statutory guarantees that apply to the services we provide. If a service fails to meet a consumer guarantee, you may be entitled to a remedy under that law.

If any provision of these Terms would otherwise purport to exclude or restrict such rights, that provision is read down or severed to the extent necessary to comply with Australian Consumer Law.

13 Termination

Termination by you

You may close your account at any time by contacting support@coreplexai.com. Upon closure, any unused credits in your account will be forfeited unless you have a valid pending redemption request at the time of closure.

Termination by us

We may suspend or terminate your account and access to BetaHive at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our reasonable discretion.

Upon termination by us for cause, any credits in your account will be forfeited and no refund of subscription fees will be provided except as required by Australian Consumer Law.

Survival

Provisions that by their nature should survive termination will continue to apply, including Sections 9 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Australian Consumer Law), and 15 (Governing Law).

14 Changes to these terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page;
• Notify registered users by email where the changes are significant;
• Post a prominent notice on the platform for a reasonable period.

Your continued use of BetaHive after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the platform and close your account.

15 Governing law

These Terms are governed by the laws of Australia. Any dispute arising from or related to these Terms or your use of BetaHive will be subject to the exclusive jurisdiction of the courts of Australia.

Before initiating formal legal proceedings, we encourage you to contact us at support@coreplexai.com to attempt to resolve the matter informally. We are committed to resolving disputes in a fair and timely manner.
